1. AGREEMENT TO TERMS

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and PhobosQ Private Limited (“Company,” “we,” “us,” or “our”), concerning your access to and use of the https://phobosq.com website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the “Site”) and the services we provide (the "Services").

Our Services include, but are not limited to:

• Sirus by PhobosQ ("Sirus"): A Software-as-a-Service (SaaS) platform providing AI-powered business intelligence and data analysis tools.
• PhobosQ AI Enablement ("AI Enablement"): Bespoke services for enterprises, including model evaluation, data curation, and custom AI system development.

You agree that by accessing the Site and/or our Services, you have read, understood, and agree to be bound by all of these Terms of Service. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS OF SERVICE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

2. INTELLECTUAL PROPERTY RIGHTS

Unless otherwise indicated, the Site and the Services are our proprietary property. All source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights of India, foreign jurisdictions, and international conventions. Except as expressly provided in these Terms of Service, no part of the Site, Services, or Content may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

3. USER REGISTRATION AND SERVICES

(a) For Sirus: To access the Sirus platform, you may be required to register for an account. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

(b) For AI Enablement: These services are governed by a separate Master Service Agreement (MSA) or Statement of Work (SOW). These Terms of Service apply to the initial use of our Site for inquiry, but the delivery of AI Enablement services will be subject to the terms of a separate, duly executed agreement.

4. CLIENT DATA AND USER-GENERATED CONTENT

(a) Ownership of Your Data: As a user of our Sirus platform, you will submit or upload data, information, and other content for processing and analysis ("Client Data"). You are and will remain the sole and exclusive owner of all right, title, and interest in and to all Client Data.

(b) License to Us: You hereby grant PhobosQ a limited, non-exclusive, royalty-free, worldwide license to use, process, reproduce, and display your Client Data solely for the purpose of providing, maintaining, and improving the Services for you. We will use Client Data only in accordance with these Terms, our Privacy Policy, and any applicable laws.

(c) Anonymized Data: You agree that PhobosQ may collect, use, and create derivative works of an anonymized and aggregated form of your Client Data to improve our AI models, services, and for other business purposes. This anonymized data will not identify you or any individual.

5. FEES AND PAYMENT (for Sirus)

We may charge a subscription fee for the use of the Sirus platform. All fees will be presented to you before you complete your subscription. You agree to provide current, complete, and accurate purchase and account information. We may change our prices at any time. All payments shall be in Indian Rupees (INR) or another currency as specified at the time of purchase.

6. PROHIBITED ACTIVITIES

You may not access or use the Site or Services for any purpose other than that for which we make them available. Prohibited activity includes, but is not limited to:

• Systematically retrieving data to create a competing product.
• Attempting to decompile, reverse engineer, or disassemble any software comprising the Site or Services.
• Uploading or transmitting viruses, Trojan horses, or other malicious material.
• Using the Services to analyze data for which you do not have the proper legal rights or permissions.
• Interfering with, disrupting, or creating an undue burden on the Site or the networks or services connected to the Site.

7. TERM AND TERMINATION

These Terms of Service shall remain in full force and effect while you use the Site or Services. WITHOUT LIMITING ANY OTHER PROVISION OF THESE TERMS OF SERVICE, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SITE AND THE SERVICES (INCLUDING BLOCKING CERTAIN IP ADDRESSES), TO ANY PERSON FOR ANY REASON OR FOR NO REASON.

8. GOVERNING LAW

These Terms of Service and your use of the Site and the Services are governed by and construed in accordance with the laws of India, applicable to agreements made and to be entirely performed within the State of [Your State, e.g., Tamil Nadu], without regard to its conflict of law principles. The courts of [Your City, e.g., Chennai] shall have exclusive jurisdiction.

9. DISCLAIMER

THE SITE AND SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SITE AND OUR SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SITE AND YOUR USE THEREOF.

10. LIMITATION OF LIABILITY

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, OR LOSS OF DATA ARISING FROM YOUR USE OF THE SITE OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
